OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER, PLAY, OR WIN. A PURCHASE WILL NOT IMPROVE YOUR ODDS OF WINNING.

ELIGIBILITY

To enter the A&E's The BEAST "Go Undercover" Sweepstakes ("Sweepstakes"), participating entrant must be 21 years of age or older and a legal resident of the 50 United States (includes the District of Columbia) or Canada (excluding Quebec) at time of entry. Sweepstakes is void in Quebec and where taxed, restricted, or prohibited by law. Employees of A&E Television Networks ("A&E") ("Sponsor"), GMR Marketing LLC ("GMR") ("Administrator"), Marden-Kane, Inc. ("Marden-Kane"), and their affiliates, sales representatives, retailers, distributors, promotion and other vendor agencies, including WS Packaging Group, Inc., Brite Media Group, and National CineMedia, involved in this Sweepstakes and the household and immediate family members (defined for the purposes of this Sweepstakes as spouses, children, parents, siblings, and grandparents) of all such employees, are NOT eligible. Sweepstakes is subject to all federal, state, provincial, and local laws and regulations.

HOW TO ENTER

To enter the Sweepstakes, obtain an A&E's The BEAST "Go Undercover" Sweepstakes Game Piece distributed in participating movie theaters, coffee houses, and other select retailers, or via street teams at various times and locations beginning 12:01 a.m. Eastern Time ("ET") on December 15, 2008 and ending 11:59 p.m. ET on January 25, 2009 ("Promotional Time Period"). Go to the Official Sweepstakes Web site located at The Beast Undercover - A&E TV, complete the Official Online Entry Form and click "Continue." To see if you are an Instant-Win Prize winner, hold your Game Piece up to your computer screen. Use your Game Piece lens to view the scrambled image. The Game Piece lens will reveal whether you are an Instant-Win Prize winner. If you do not have a Game Piece, click and drag the virtual Game Piece over the scrambled image. The virtual Game Piece will reveal whether you are an Instant-Win Prize winner. Regardless of whether you are an "Instant-Win Prize Winner," you will automatically be entered into the random draw Sweepstakes for the Grand and First Prize. All entries must be received by 11:59 pm ET on January 25, 2009 to be eligible for the drawing. If you have special needs within the meaning of the Americans with Disabilities Act, and require assistance in order to participate in the Sweepstakes, please call 262-780-6164. A&E, GMR, Marden-Kane, and each of their affiliates, sales representatives, retailers, distributors, and promotion and other vendor agencies, including WS Packaging Group, Inc., Brite Media Group, and National CineMedia, involved in this Sweepstakes are not responsible for lost, late, or misdirected entries. Entrant must include all data requested for the Sweepstakes entry to be valid. Any attempt by any person to submit multiple entries by using multiple/different e-mail accounts or any other methods will void all entries submitted by said person and that person will be disqualified. Limit one (1) entry per person/authorized e-mail account holder for the duration of the Sweepstakes.

INSTANT-WIN PRIZES AND APPROXIMATE RETAIL VALUES

Potential Instant-Win Prize winners will be chosen randomly throughout the Promotional Time Period in an automated selection process based on time of entry by the Administrator's computer, which is based in New Berlin, Wisconsin. There will be approximately three (3) Instant-Win Prize winners per day. The first entrant to play after a designated prize time wins that prize, subject to verification. (All Canadian prize values are subject to actual US/Canadian exchange rate at time of prize award.)

Eighty (80) Instant-Win Second Prizes: One (1) US$50 bank gift card (bank gift card will be determined solely by the Sponsor and subject to the terms of the gift card). The Approximate Retail Value ("ARV") of each Instant-Win First Prize is US$50/CAN$59.55.

Forty (40) Instant-Win Third Prizes: One (1) US$25 bank gift card (bank gift card will be determined solely by the Sponsor and subject to the terms of the gift card). The ARV of each Instant-Win Second Prize is US$25/CAN$29.78. The total number of Instant-Win prizes to be awarded is 120. The total ARV of all Instant-Win prizes is US$5,000/CAN$5,955.84.

All federal, state, and provincial income, sales, and similar taxes associated with the prize are the sole responsibility of the winners and any additional tax obligation that the winners may be liable for is the sole responsibility of the winner. The Sponsor reserves the right to substitute prize of the same or greater retail value. Prizes are not transferable; no prize substitution or cash alternatives are allowed except by Sponsor due to unavailability of a prize.

Instant-Win Selection, Notification & Prize Fulfillment: Potential Instant-Win Prize winners will receive immediate on-screen notification. Award of prizes and confirmation of winners is contingent upon potential winner's qualification and compliance with all Official Rules including, for Canadian winners only, correctly answering unaided a mathematical skill-testing question before shipment of the prize. Instant-Win Prizes will be shipped six to eight weeks following the end of the Promotional Time Period to the address provided on the registration form. Any Instant-Win First and Second Prizes returned as undeliverable will be forfeited by the winner and an alternate winner may be selected from among all eligible entries received at the Sponsor's discretion.

Publicity Release: Except where prohibited, acceptance of an Instant-Win Prize constitutes winners' consent that their names, likenesses, voices, and/or biographical data may be used for advertising and promotional purposes without limitation and without additional notice, compensation, or consent.

SWEEPSTAKES GRAND AND FIRST PRIZES AND APPROXIMATE RETAIL VALUES

The Grand and First Prizes will be awarded in a random drawing from among all eligible entries received throughout the Promotional Time Period. Odds of winning depend on the number of eligible entries received.

One (1) Grand Prize: A trip to Chicago, IL with a visit to the set of the A&E's "The Beast" for winner and one (1) guest. Trip includes: round-trip coach-class airfare for winner and guest (only from and to major airport near winner's physical place of residence at time of entry as chosen by the Sponsor); three (3) nights standard hotel accommodations (hotel to be determined at the sole discretion of Sponsor; one (1) double occupancy room does not include meals, room service, or other incidentals); tour of "The Beast" set (set, show, tour and access are at the sole discretion of the Sponsor); possible opportunity to be an extra in a scene for the winner only (opportunity is at the sole discretion of the Sponsor); US$500/CAN$595.76 spending money issued in the form of a corporate check to the winner only; and ground transportation to and from airport and hotel and ground transportation to and from the hotel and "The Beast" set. The ARV of the Grand Prize is US$5,000/CAN$5,955.84.

Actual value of prize may vary based on point of origination and airfare fluctuations. The Grand Prize winner and travel companion must room together and travel together from the same airport, as well as possess required travel documents (e.g. valid government-issued photo ID, passport) prior to departure. The Grand Prize winner's travel companion must be 21 years of age or older. The Grand Prize winner must plan trip with Sponsor based on the available dates as provided by the Sponsor. Travel must be made through Sponsor agent on a carrier of Sponsor's choice. If winner resides within a 200 mile radius of Chicago, IL ground transportation may be provided for winner and guest in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. Travel dates and arrangements are to be determined and are subject to availability and some restrictions may apply. Winner will receive less than 30 days notice prior to trip departure. Travel must be completed by December 31, 2009. If winner is unable to complete trip on the dates selected by the Sponsor, the winner shall forfeit the prize in its entirety and an alternate winner will be selected, time permitting. If The Beast production is canceled, rescheduled or, if for any reason, Sponsor is unable to provide the visit to the set, the Sponsor shall have no further obligation to the Grand Prize winner and guest other than to supply the trip to Chicago, IL as described within one (1) year from date of prize notification, minus set visit and transfers. The Grand Prize winner is responsible for meals, taxes, gratuities, other ground transportation, and all other expenses not expressly specified herein. The Grand Prize winner is responsible for all federal, state, and local income taxes and other taxes associated with the prize. A&E will comply with all tax reporting requirements. The Grand Prize consists only of items specifically listed as part of the prize. Certain conditions and restrictions apply. Prizes are nontransferable and no substitution or cash equivalent is allowed, except in Sponsor's sole discretion. Sponsor reserves the right to substitute prizes of the same approximate retail value. All details of any prize not specified herein shall be determined solely by Sponsor.

In addition to the described trip prize, the Grand Prize winner may, in Sponsor's sole discretion, be offered the possibility of a walk-on part in "The Beast." Any such appearance will be subject to all standard and relevant production requirements and conditions, including, but not limited to, any applicable Screen Actors Guild ("SAG") or union terms, shooting schedules, script needs, scene availability, or any other production requirements and conditions not expressly stated herein. SAG members may not be eligible for this portion of the prize, and if so, the offer is not available to a winner who is a SAG member. Sponsor is under absolutely no obligation to offer this portion of the prize and may withhold it for any reason at its discretion. By accepting the Grand Prize, the winner expressly agrees that he or she has no right or entitlement to this portion of the prize. Sponsor does not guarantee that winner's filmed scenes will appear on the final aired program. All details of prize not specified herein shall be determined solely by Sponsor. There is no cash value assigned or available as to this portion of the prize; Sponsor's sole obligation to Grand Prize winner is to award the trip prize specifically described in these Official Rules.

One (1) First Prize: US$5,000 to be awarded in the form of a corporate check. The ARV of the First Prize is US$5,000/CAN$5,955.84.

GRAND AND FIRST PRIZE WINNERS

The Grand and First Prizes will be awarded in a random drawing from among all eligible entries received throughout the Promotional Time Period on or about January 28, 2009 at 2:00 p.m. ET in New Berlin, Wisconsin, by GMR, whose decisions on all matters relating to the Sweepstakes are final. The potential Grand and First Prize winners will be notified by phone to the phone number indicated on the entry on or about January 29, 2009. The potential Grand and First Prize winners must respond within 24 hours of the initial phone notification in order to be determined as eligible to receive the prize. If the potential Grand and First Prize winners do not respond to the initial phone notification within 24 hours, then the prize will be forfeited and an alternate winner selected, time permitting. The potential Grand and First Prize winners must complete, sign, and return an acceptable affidavit of eligibility, mutually acceptable liability release, publicity release, and required tax documents within seven (7) calendar days after notice is sent, or the prize will be forfeited in its entirety and an alternate winner will be selected, time permitting. Also, in order for a Canadian entrant to be declared a winner, the selected entrant must first correctly answer a mathematical skill-testing question without mechanical or other assistance, and have complied in full with these Official Rules. In addition and at the same time, the Grand Prize winner must designate a travel companion. Travel companion of Grand Prize winner must be 21 years of age or older or must have reached the age of majority in his or her state of residence as of date of travel and will be required to execute and return a mutually acceptable liability/publicity release (unless prohibited by law) prior to ticketing. Any necessary alternate winners will be selected in a similar random drawing from among the remaining eligible entries received, time permitting.

Publicity Release: Except where prohibited, acceptance of a prize constitutes winners' and travel companion's consent that their names, likenesses, voices, and/or biographical data may be used for advertising and promotional purposes without limitation and without additional notice, compensation, or consent.

The total ARV of all prizes to be awarded during the Promotional Time Period is US$15,000/CAN$17,870.83.

LIMITATIONS OF LIABILITY

Game Pieces are void if not obtained through authorized, legitimate channels, or if any part is defective, altered, duplicated, photocopied, forged, counterfeited, mutilated or tampered with in any way, or if game materials or Game Pieces contain or are the result of a printing, seeding, typographical, mechanical or other error(s), or do not contain proper security devices. Sole liability for an irregular Official Game Piece is limited to replacement with a free randomly selected Official Game Piece, while supplies last. All submitted game materials and Game Pieces become property of the Sponsor, and will not be returned. No more than the stated number of prizes will be awarded. In the event that production, seeding, printing or any other reason causes more than stated number of prizes in any prize category as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes in that prize category (previously not awarded) by random drawing from among all legitimate, non-suspect and eligible prize claimants for prizes in that prize category. Inclusion in such drawing shall be each entrant's sole and exclusive remedy under such circumstances.

ADDITIONAL TERMS

Entry constitutes acceptance of all Official Rules. Decisions of GMR, an independent agency, will be final in all matters. By entering the Sweepstakes, participants release and hold harmless A&E, GMR, Marden-Kane, WS Packaging Group, Inc., Brite Media Group, and National CineMedia, and their respective parent companies, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability or any injuries, loss, or damage of any kind arising from or in connection with this Sweepstakes or any prize won, including any injuries, loss, or damage of any kind arising from or in connection with participation in the Sweepstakes. Sponsor is not responsible for any typographical or other error in the printing of this offer, administration of the Sweepstakes, or in the announcement of prizes. In the event Sponsor is prevented from continuing with this Sweepstakes, or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence), Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Sweepstakes without further obligation and, if so, Sponsor reserves the right, but not the obligation, to award the prize from among all valid and eligible entries received up to the time of such Force Majeure event. All entries are the property of Sponsor and are not returnable.

ONLINE REGISTRATION

This Sweepstakes is intended for viewing in the United States and Canada only and shall be construed and evaluated according to U.S. and Canadian law. Do not enter this Sweepstakes if you are not located in the United States or Canada or if you are not a legal U.S. or Canadian resident. If for any reason, the computerized entry portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, terminate, modify, or suspend the Sweepstakes. Each entry must be manually key-stroked and manually entered by the individual participant. Repetitive automated electronic submission of entries is specifically prohibited, and any such entries will be disqualified. Entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. In the event of a dispute, the potential winner may be required to provide proof that he/she is the authorized account holder of the identified e-mail account, and Sponsor's decision will be final. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries, including any error that may result in an erroneous appearance of qualification for a prize. Sponsor is not responsible for any problem or technical malfunction of any computer equipment or software that results in loss of entry. WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY COMPUTERIZED SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGE FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
