1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED. Toys ‘R’ Us "Hot Holiday Toy Giveaway" Sweepstakes and Instant Win Game ("Promotion") begins at 9:00:00 AM Eastern Time ("ET") on Friday, December 5, 2008 and ends at 11:59:59 PM ET on Sunday, December 14, 2008. The Promotion is intended for participation only in the United States and shall be construed according to, and governed exclusively by United States law. Do not participate in the Promotion if you are not physically located in the United States at time of entry. Entry in the Promotion does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Toys ‘R’ Us, Inc. ("Sponsor"), which shall be final and binding in all respects. By participating in the Promotion, participants agree to release, discharge and hold harmless Promotion Entities (defined below), their respective parents, affiliates, subsidiaries, divisions, retailers, agencies and their respective officers, directors, employees and agents, from any and all damages whether direct or indirect, which may be due to or arise out of participation in the Promotion or any portion thereof, or the acceptance, use/misuse or possession of prizes.

2. ELIGIBILITY: The Promotion is open only to residents of the 50 United States residing in the 50 United States and the District of Columbia (excluding Puerto Rico and all other territories). Entrants must be 13 years of age or older at the time of Promotion registration. Employees, officers and directors of Toys ‘R’ Us, Inc., GSI Commerce, and RealTime Media, Inc. (collectively, "Promotion Entities"), their respective parents, affiliates, subsidiaries, divisions, advertising, promotional, fulfillment and marketing agencies, their immediate families (parent, child, sibling & spouse) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Promotion. Void in Puerto Rico, all other territories and where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply.

HOW TO PLAY THE INSTANT WIN GAME & SWEEPSTAKES: LIMIT: Limit one (1) Instant Win game play and one (1) Sweepstakes entry per person or email address per day. Subsequent Instant Win game plays and/or Sweepstakes entries in the same day from the same person or email address will be disqualified. Any attempt by a person to enter the sweepstakes and instant win game more than once in the same day and/or with multiple email accounts may result in disqualification at the discretion of the judges or Sponsor upon prize verification. For the purposes of the Promotion, a day shall mean a 24-hour period, beginning at 09:00:00 AM ET and ending at 11:59:59 PM ET, except for the first day which will begin at 9:00:00 AM.

To enter and play the Promotion, visit Toys 'R' Us Hot Holiday Toy Giveaway and complete the entry form with your true and correct information in all required fields and click on the "Submit" button. P.O. Boxes are not an acceptable mailing address and will be disqualified. THE SWEEPSTAKES AND INSTANT WIN GAME ARE OPEN ONLY TO REGISTRANTS AGE 13 AND OLDER AT THE TIME OF REGISTRATION.

After entering the required registration information and clicking the "Submit" button, you will receive one (1) Sweepstakes entry and one (1) Instant Win Game Play. During the Instant Win Game Play you will be shown a group of four Toys R Us gift box-styled playing cards. To play the game you will click each card in turn, which flip over to reveal an instant win prize. If you uncover any Three (3) matching prizes you win that Instant Win Game Prize, subject to confirmation, verification, compliance with these Official Rules and final approval from the judges or Sponsor. If you are an Instant Win Prize Winner, you must select "Click here to claim your prize!" and confirm your information submitted during registration on the prize redemption form and select the submit button. All Instant Win prizes must be claimed by 11:59:59 AM on Monday, December 15, 2008. Proof of play and/or winning will not be deemed to be proof of winning by judges or Sponsor.

Tell-A-Friend Program: You will be able to earn additional Sweepstakes entries through the Tell-A-Friend program. Once on the Tell-A-Friend page, you can receive additional Sweepstakes entries by filling in the names and valid e-mail addresses of unique friends/family members. Limit: Five (5) additional Sweepstakes entries per person per day for the length of the Promotion.

Returning Players: You can return to enter and play the Instant Win Game & Sweepstakes once a day for the duration of the Promotion. Returning Players can log in by simply filling in their Name and E-mail Address and clicking the "Enter" button.

Entries will be deemed made by the authorized account holder of the email address submitted at time of entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner must provide Sponsor with satisfactory proof that he/she is the authorized account holder of the email address associated with the potentially winning entry. In the case of a minor, the potential winner’s parent or legal guardian may be the authorized account holder. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Information collected from entrant is used only for the purpose of the prize drawing and to notify winners, and will not be re-used, sold or shared in any manner by Promotion Entities or any third parties unless entrant has elected to receive additional information and promotional material from Sponsor or a third party. Once the Promotion has ended, all information supplied by entrants will be removed from the database. 3. INSTANT WIN GAME PRIZES AVAILABLE and ODDS OF WINNING: A total of four hundred (400) random, computer-generated winning times, one for each Instant Win Game Prize listed below, will be generated during the Promotion Period. Odds of winning a particular prize hereunder depend on the number of eligible Promotion entries received and the date and time when a particular Promotion participant plays the Instant Win Game. The quantities, description and average retail value ("ARV") of each specific prize anticipated potentially to be awarded in the Instant Win Game hereunder are as follows:

4. SWEEPSTAKES PRIZE One (1) Grand Prize winner will be selected in an electronic randomized drawing from all eligible entries on or about December 15, 2008. Odds of winning the Grand Prize depend on the number of eligible entries received.

5. PRIZE AWARDING: Limit of one (1) Instant Win Prize per person. Instant winners are also eligible to win the Sweepstakes Grand Prize. Prizes will be awarded only upon winner redemption, confirmation, verification and final approval by Sponsor. No substitution, transfer of any prize or cash alternative permitted, except by Sponsor who reserves the right, in its sole discretion, to substitute a prize of equal or greater value, if prize, or portion of prize, becomes unavailable. If winner of any prize is a minor, prize will be awarded in the name of the minor to the parent or legal guardian. Potential Instant Win Game winners will receive a prize confirmation via electronic mail. All Instant Win prizes must be redeemed 11:59:59 AM on Monday, December 15, 2008. All Instant Win prizes will be fulfilled 4-6 days after the promotion has ended. If the potential winning entrant of any Instant Win prize cannot be contacted; is ineligible; fails to claim the prize; if the Prize Notification is returned undeliverable; or if the potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and the prize will be awarded to an alternate potential winner in a second chance drawing from among all non-winning eligible entries received. Odds of winning in the second chance drawing depend on the number of eligible entries received. Potential Grand Prize Sweepstakes winner (or, if winner is a minor, his/her parent or legal guardian) will be notified via phone, United States Postal Mail, and/or overnight mail and will receive an Affidavit of Eligibility/Compliance & Publicity/Liability Release form and a W9 Form. These forms must be completed, signed, notarized and returned to RealTime Media within ten (10) days of receipt of documents. The potential Grand Prize winner then and only then becomes the "winner." If the potential winning entrant of the Sweepstakes Grand Prize cannot be contacted; is ineligible; fails to return the completed and executed Affidavit and Release; fails to claim the prize; if the Prize Notification is returned undeliverable; or if the potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and the prize will be awarded to an alternate potential winner. Entrants grant Sponsor the right to use and publish winner's proper name and State of residence online in connection with the Promotion. Acceptance of a prize constitutes permission for Sponsor and its affiliates to use winner's name and likeness solely for advertising and promotional purposes as Sponsor so determines without notice or further compensation, except where prohibited by law. All decisions of the judges shall be binding and final.

6. DISQUALIFICATION: Sponsor is not responsible for technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware, software or web site. Sponsor is not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, for incorrect or inaccurate entry information, howsoever caused, or other error of any kind whether human, mechanical or electronic. Entrants found tampering with or abusing any aspect of this Promotion, as solely determined by the judges, will be disqualified. If disqualified for any of the above abuses, Sponsor reserves the right to terminate entrant's eligibility to participate in the Promotion. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Only the stated number of prizes will be awarded. If for any reason more entrants receive an "Instant Winner" notice than the number of prizes stated herein, Sponsor reserves the right to award only the number of prizes stated in the Official Rules for that category. In no event will more prizes be awarded than those listed in Rule #4.

7. TAX INFORMATION: All federal, state, local, and other taxes on prizes are the sole responsibility of the applicable winner or the winner’s parent or legal guardian, if the winner is a minor in their state of residence.

8. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New Jersey, without giving effect to any choice of law or conflict of law rules (whether of the State of New Jersey, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New Jersey.
